These Terms of Trade (“Terms”) govern all B2B transactions, wholesale contracts, bespoke manufacturing commissions, and dropshipping agreements entered into with Kashanian Exports (“Manufacturer,” “we,” or “us”). By opening a Trade Account, submitting an official Purchase Order (PO), or utilizing our Dropshipping infrastructure, the Buyer (“Partner,” “you”) agrees to be bound by the frameworks outlined below.
1. Order Origination & Manufacturing
1.1 Purchase Orders & Approvals
All bulk and bespoke orders must be submitted via official Purchase Order (PO) or approved through our Digital Trade Portal. For bespoke designs, manufacturing will not commence until the Buyer has provided written approval of the final CAD render and/or physical Strike-Off sample.
1.2 Lead Times & Delays
Estimated lead times are provided upon PO confirmation. Because our products are meticulously handcrafted, timelines are estimates, not guarantees. Kashanian Exports is not liable for delays caused by Force Majeure events, severe monsoon weather impacting dyeing/drying phases, or global freight disruptions.
2. Financial Governance & Payment
2.1 Standard Payment Terms
Unless otherwise negotiated under a Master Service Agreement (MSA), all wholesale and bespoke manufacturing orders require a 50% non-refundable advance deposit to initiate raw material procurement and loom allocation. The remaining 50% balance must be cleared prior to dispatch from our Bhadohi facilities.
2.2 Dropshipping Payments
Dropship orders must be paid in full (100%) at the time of order placement via our approved B2B payment gateways before the item is packed and dispatched to the end consumer.
2.3 Currency & Trade Pricing Confidentiality
All transactions are processed in USD, EUR, GBP, or INR as specified in the invoice. Buyer agrees to maintain absolute confidentiality regarding their assigned B2B discount tiers and wholesale pricing. Sharing Trade pricing publicly is grounds for immediate account termination.
3. The Nature of Handmade (Tolerances)
A Kashanian Exports rug is a product of human artistry, not machine-molded repetition. By ordering from us, the Buyer acknowledges and accepts the following inherent natural characteristics, which do not constitute manufacturing defects:
3.1 Size & Geometric Variance
Due to the tension of hand-knotting and off-loom block stretching, a dimensional tolerance of up to +/- 3% to 5% in width or length is an industry standard and is acceptable.
3.2 Chromatic Abrash
Natural fibers absorb dyes differently. Slight, beautiful variations in color banding (known as ‘Abrash’) are a hallmark of authentic, pot-dyed handmade rugs and are not considered flaws.
3.3 Initial Shedding
All cut-pile wool and viscose rugs will shed loose fibers during the first few months of use. This is a natural settling process.
4. Logistics, Customs & Liability
4.1 Wholesale Shipping (Incoterms)
Unless otherwise specified as FOB (Free on Board) Mumbai/Mundra or DDP (Delivered Duty Paid), all bulk orders are quoted EXW (Ex Works) Bhadohi. The Buyer assumes risk of loss once the goods are handed over to the designated freight forwarder.
4.2 Dropshipping & End-Consumer Liability
For blind dropship dispatches, Kashanian Exports acts solely as the fulfillment arm. The Buyer remains the Merchant of Record. The Buyer is entirely responsible for end-consumer customer service, managing retail returns, and ensuring all import duties and local taxes are cleared so the end-consumer is not billed unexpectedly.
5. Claims & Return Policy
5.1 Bespoke & Custom Orders
Because bespoke orders are manufactured specifically to the Buyer’s blueprint, all custom and bespoke sales are strictly final. No returns, refunds, or exchanges will be accepted unless a catastrophic manufacturing defect is proven (outside the scope of natural handmade tolerances).
5.2 Transit Damage & Claim Windows
Any claims for transit damage, incorrect labeling, or severe structural defects must be submitted in writing (with high-resolution photographic evidence) to your Account Manager within seven (7) days of receiving the shipment. Claims submitted outside this window will be denied.
6. Intellectual Property & White Labeling
6.1 Protection of Buyer Designs
Kashanian Exports agrees that any original design, CAD file, or pattern provided by the Buyer for custom manufacturing remains the sole intellectual property of the Buyer. We will not reproduce, market, or sell your proprietary designs to other clients or in our open catalog.
6.2 Catalog IP
Conversely, designs native to the Kashanian Exports catalog (or our child brands) remain our intellectual property. White-labeling our designs does not transfer the copyright of the pattern to the Buyer.
